Superficial Loss Rules

Not all losses on the sale of capital property can be used to offset gains. The claim of capital losses on a disposition of shares can be denied if both of the following apply:

  • The identical shares are repurchased 30 days before or after the disposal by the taxpayer or by an affiliated person; and
  • The taxpayer or the affiliated person still own or has a right to buy the shares 30 days after the sale.

Affiliated persons include, in relation to the taxpayer, a spouse/common-law partner, corporation controlled by the taxpayer or his spouse/common-law partner, and taxpayer’s or taxpayer’s spouse’s RRSP, TFSA, or RRIF.

Note: Since children are not included in the definition of affiliated persons, shares can be sold to a taxpayer’s children without triggering the superficial loss rules.

What happens to the denied loss?

The loss is not lost, it is only deferred. Instead of the transferor being allowed to use the loss, the acquiring person can usually add an amount equal to the superficial loss to the cost base of the substituted property. This will reduce any gain or increase any loss on the subsequent disposition of the share.

The superficial loss rules can provide for a neat tax planning opportunity. This would enable the transfer of capital losses between spouses, allowing the spouse with accrued and about to be realized gains to use them to reduce their tax payable on capital gains.

About the Author

Can’t say enough excellent things about Faris CPA and the entire team. I needed an assistant correcting my 10 years personal tax returns to reflect my unreported offshore income and assets. Sam of Faris CPA highly recommended to use the Voluntary Disclosure Program. I followed his advice and submitted the package under the Voluntary Disclosure Program. CRA accepted the package without a single question ask. Furthermore, Sam was able to remove the interest and penalties for me. He made the process as smooth as possible and stress free. Having Sam as my tax consultant and my tax advisor to resolve this matter is the best decision I made..
Hired Faris CPA to handle the most complicated tax audit with the CRA. CRA performed a net worth audit on myself, family and my corporate and they came up with massive tax bill. I engaged Sam Faris to fight this proposal. He performed counter analysis to the CRA proposal and was able to reduce the tax bill significantly and I was able to pay the amount in one lump sum and put this matter to bed forever. I must admit that Faris CPA is the best tax consulting firm in the country and this firm is a life saver. Highly recommend the firm if you ever have any dispute with the CRA.
Mr. Faris has helped me to file my multiple years of outstanding corporate and personal tax returns. Collection officers has garnished all bank accounts and my business was in a very bad shape as a result. Mr. Faris was able to remove the garnishments and sort the situation out with the least cost possible. If you ever need an excellent tax consultant and the best tax accountant who is expert with CRA problems, hire Faris CPA and your issue will be resolved guaranteed.
While I am not a big fan of writing reviews for privacy reasons but made an exception to write one for Sam and his team. I needed help with my tax audit with the CRA and I could not find better than Sam and his team to represent me. The team was very thorough, knowledgeable and reliable while defending me during the CRA audit. I am very happy with the results they achieved for me. I am lucky to engage Faris CPA as the firm is the best tax consulting firm that I have ever dealt with.
